# Business document requirements

> Review KYB document categories, acceptance rules, recency rules, signatures, and current upload boundaries.

## KYB document requirements

KYB can require formation, ownership, governance, authority, identity, and address evidence. The exact requirement depends on the business, jurisdiction, ownership structure, risk review, and current task.

## Supported countries

The business-document policy lists these country codes:

US, GB, DE, FR, ES, IT, NL, BE, AT, CH, IE, PT, PL, SE, DK, NO, FI, LU, SG, HK, AU, NZ, CA, JP, KR, AE, IL, BR, MX, IN

This list is policy content, not a guarantee of customer or capability availability.

## Current task and upload rules

Read the current task to learn which documents are required. Upload each requested file with [`POST /v3/customers/{customerId}/documents`](/api-reference/documents/post-v3-customers-by-customer-id-documents), then reference the returned document id in the applicable task answer.

The upload uses `multipart/form-data` and accepts raw file bytes. The endpoint accepts PDF, JPEG, PNG, WebP, and HEIF/HEIC files up to 25 MB. A current task can narrow the accepted type, count, or format.

## Document categories

### Certificate of incorporation

A certificate of incorporation is government-issued evidence that proves the business's legal formation and registration.

| Corporation               | Articles of Incorporation or Certificate of Incorporation          |
| Limited Liability Company | Articles of Organization or Certificate of Formation               |
| Partnership               | Partnership Agreement or Certificate of Partnership                |
| Limited Partnership       | Certificate of Limited Partnership                                 |
| Sole Proprietorship       | Business License, DBA Filing, or Trade Name Registration           |
| Nonprofit                 | Articles of Incorporation and IRS Determination Letter (501(c)(3)) |
| Trust                     | Trust Deed or Certificate of Trust                                 |
| Cooperative               | Articles of Incorporation or Bylaws                                |

The evidence should:

* Be filed with the secretary of state or equivalent government body
* Show the legal entity name exactly as registered
* Be current and valid, rather than expired or dissolved

### Corporate structure

Corporate-structure evidence shows the complete ownership structure, including owners and ownership percentages.

Key requirements:

* Account for 100% of ownership
* Identify all Ultimate Beneficial Owners (UBOs) who own 25% or more
* Include ownership documents for parent entities when the business is entity-owned
* Date and sign self-generated documents through a verified control person, lawyer, or third-party CPA

Cap tables from recognized platforms such as Carta, AngelList, and Securitize do not require an additional lawyer or CPA signature.

### Director structure

Director-structure evidence identifies the company's directors, officers, and control persons. The review can require both current related-party resource facts and an uploaded supporting document.

Accepted supporting documents include:

* Board Resolution
* Annual Report
* Bylaws
* Board Meeting Minutes
* Register of Directors
* Certificate of Incumbency

Include:

* All directors and board members
* All executive officers, including the CEO, CFO, COO, and President
* All UBOs who own 25% or more
* Anyone with significant control over the business

### Power of attorney

A power of attorney or accepted alternative shows that the person completing KYB has authority to act for the company.

| Scenario                                    | Policy treatment                                                                   |
| ------------------------------------------- | ---------------------------------------------------------------------------------- |
| Director or officer completing KYB          | A formal power of attorney may be optional when authority is otherwise established |
| Employee who is not an officer              | Power of attorney or accepted authority evidence is required                       |
| Third-party agent                           | Power of attorney or accepted authority evidence is required                       |
| Lawyer or accountant acting for the company | Power of attorney or accepted authority evidence is required                       |

When a control person completes KYB, accepted alternatives can include:

* Board Resolution authorizing the individual to act for the company
* Authorization Letter signed by a director or officer
* Current related-party facts showing the person's signer and control roles when the task asks for them

A formal power of attorney should:

* Be signed by an authorized officer or director
* State the scope of authority
* Name the authorized representative
* Be notarized when required or recommended
* Be current and unexpired

### Proof of address

| Document type            | Requirements                                                                             |

| Bank Statement           | Issued within the last 90 days and addressed to the business                             |
| Utility Bill             | Electricity, gas, water, or internet; issued within the last 90 days                     |
| Government-Issued Letter | Tax notice, business-license renewal, or similar evidence issued within the last 90 days |
| Office Lease Agreement   | Current and valid; it can be older than 90 days                                          |
| Commercial Rent Receipt  | Issued within the last 90 days                                                           |

Not accepted:

* PO Box addresses
* Virtual office addresses unless accompanied by physical-address evidence
* Documents older than 90 days, except current valid lease agreements
* Mobile phone bills
* Insurance documents
* Documents not addressed to the business legal name

## Other evidence categories

A current task may also request alternative formation documents, annual financial statements, articles of association, bank statements, business licenses, certificates of good standing, operating agreements, partnership agreements, or tax returns. Treat these as policy document categories, not fixed request values.
